Terms of Service

1. Description of Services

Flowpallet operates a cross-border dropshipping platform offering product sourcing, warehousing, inventory management, order fulfillment, international shipping, and related value-added services (collectively, the “Services”). The scope and features of the Services may be adjusted by Flowpallet at its discretion based on market conditions and operational needs. We reserve the right to add, modify, or discontinue any part of the Services. Material changes will be announced through reasonable means such as platform notifications. You confirm that the Services are intended only for individuals of legal age with full legal capacity, or legally constituted entities/organizations. If you are using the Services on behalf of a company or organization, you represent and warrant that you are duly authorized and that your actions are binding on such entity.

2. Account Registration and Management

Registration Obligations:

When registering for a Flowpallet account, you must provide truthful, accurate, complete, and valid information (including, but not limited to, credit card details, billing address, or business credentials) and keep such information updated. Flowpallet may refuse to provide Services or suspend/terminate your account if the information you provide is false, inaccurate, or invalid.

Account Security:

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. Flowpallet is not liable for any losses arising from unauthorized account use. You must promptly notify Flowpallet upon discovering any unauthorized access or security breach.

Account Restrictions:

Your account may only be used by you. You may not transfer, lease, lend, or share your account with others. Flowpallet may impose usage or transaction limits based on security, operational, or compliance considerations.

3. Services Usage Rules

User Conduct Requirements

You agree to use the Services solely for lawful purposes and to refrain from engaging in activities including, but not limited to:

• Selling or distributing illegal, prohibited, counterfeit, infringing, hazardous, or otherwise unlawful goods
• Violating international trade laws, export-control regulations, or customs requirements
• Uploading or transmitting viruses, malicious code, or engaging in activities that disrupt or impair system operations
• Submitting fraudulent orders, abusing refund mechanisms, or manipulating platform systems
• Infringing the intellectual property, privacy, reputation, or other legal rights of third parties

You must comply with Flowpallet’s rules for product listing, order handling, logistics processing, and customer service, ensuring transactions are completed in good faith.

Third-party Services

The Services may incorporate third-party offerings, including payment processing, logistics, warehousing, and other operational support (“Third-Party Services”). Flowpallet is not responsible for the quality, safety, legality, or availability of such Third-Party Services. When using Third-Party Services, you agree to comply with the applicable terms and privacy policies of those third parties. Any links provided by Flowpallet do not constitute endorsement or recommendation. You should independently assess and assume all associated risks.

4. Fees and Payments

You agree to pay applicable service fees—including platform fees, storage fees, fulfillment fees, logistics fees, payment processing charges, or other costs—as published on the Flowpallet platform. Flowpallet may adjust fees based on business requirements. Your continued use constitutes acceptance of updated pricing.

Payment Methods: You must pay fees through the payment methods designated by Flowpallet. If you fail to make timely payment, Flowpallet may suspend or terminate your access and pursue applicable remedies for late payment.

Taxes: You are responsible for all duties, VAT, customs charges, and other taxes arising from cross-border transactions. Flowpallet may assist with tax collection or remittance upon request, and you shall bear all associated costs.

5. Intellectual Property

Flowpallet retains all intellectual property rights related to the Services, including trademarks, patents, logos, and proprietary system components. You may not copy, modify, reproduce, or distribute any part of the Services without prior written permission.

Suppose any third party makes a claim alleging that goods or content provided by a supplier infringe intellectual property rights (including patents, trademarks, copyrights, or trade dress). In that case, the supplier agrees to indemnify and hold you harmless against all resulting claims, liabilities, and expenses.

Any suggestions, feedback, or proposals you submit shall be deemed non-confidential. Flowpallet may freely use such content without obligation to notify or compensate you.

6. Disclaimer

The Services are provided on an “as is” and “as available” basis. Flowpallet is responsible only for Services explicitly promised (such as the functioning of platform features or properly connecting to designated logistics channels). We make no warranties, express or implied, regarding:

• uninterrupted or error-free service performance, logistics timeliness, or system availability
• product suitability for specific markets, compliance with all regulatory requirements, or non-infringement by suppliers, unless expressly stated
• issues attributable to suppliers (e.g., product quality, intellectual property violations) where Flowpallet has already taken reasonable measures, such as removal or suspension

Flowpallet shall not be liable for losses caused by force majeure (e.g., natural disasters, war, trade restrictions), changes in international trade or customs policies, shipping delays, loss, or damage beyond Flowpallet’s control, network failures, cyberattacks, or failures by external service providers, user misconduct (e.g., false customs documents, improper packaging, customer refusal), or inherent product defects or supplier compliance issues. You acknowledge the inherent risks of cross-border dropshipping—including customs delays, shipping damage or loss, regulatory changes, customer disputes, and tax issues. Such risks are borne by you unless caused by Flowpallet’s willful misconduct or gross negligence.

7. Limitation of Liability

To the fullest extent permitted by law, Flowpallet and its affiliates, employees, and agents shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including lost profits, lost data, business interruption, or loss of goodwill, except where caused by willful misconduct or gross negligence.

Except where prohibited by law, Flowpallet’s total aggregate liability for direct damages arising from your use of the Services shall not exceed the total service fees you paid to Flowpallet during the twelve (12) months preceding the event giving rise to the claim.

If the same incident affects multiple users, the maximum total compensation shall still be capped as described above and allocated proportionally. You acknowledge that these liability limitations are reasonable and form a core basis of the economic arrangement between you and Flowpallet.

8. Indemnification

You agree to indemnify, defend, and hold harmless Flowpallet and its affiliates, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from: your use of the Services; your violation of these Terms; your infringement of third-party rights; or your violation of applicable laws or regulations.

9. Termination

You may terminate your use of the Services at any time, provided all outstanding orders and obligations are fulfilled, and all fees are paid. After termination, you will no longer have access to the Services; however, provisions regarding intellectual property, disclaimers, liability limitations, indemnification, and other surviving clauses shall remain in effect.

Flowpallet may suspend or terminate your account without prior notice if you violate these Terms or applicable laws. Flowpallet may terminate the Services for business or compliance reasons by giving at least thirty (30) days’ notice via platform announcements.

10. Privacy Protection

Flowpallet values your privacy and will process your personal data in accordance with applicable laws and our Privacy Policy. By using the Services, you consent to Flowpallet handling your information as described in the Privacy Policy.

11. Amendments to the Terms

Flowpallet may revise these Terms based on legal developments or business needs. Updated Terms will be published on the platform and become effective thirty (30) days after publication. Continued use of the Services constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the People’s Republic of China (excluding conflict-of-law principles). Any disputes arising from or relating to these Terms shall first be resolved through friendly negotiation. If negotiations fail, either party may bring the dispute before a court with jurisdiction in the location where Flowpallet is registered.

13. Miscellaneous

These Terms constitute the entire agreement between you and Flowpallet regarding the Services, superseding any prior written or oral agreements. If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
